Free Zone Business Setup in UAE: Step by Step
Legal Structures Available in UAE Free Zones
Three legal forms are recognised across UAE free zones. The right one depends on how many owners are involved and whether the company is standalone or an extension of an existing business.
Free Zone Licence Categories
Each free zone publishes its own activity list, but licence categories generally fall into three groups. The category you choose affects office requirements and any additional regulator approvals.
Trading and Commercial Licence
For businesses that buy, sell, distribute, or re-export goods.
- ➤ General trading
- ➤ Import, export, and re-export
- ➤ E-commerce and online retail
- ➤ Wholesale distribution
Professional and Service Licence
For consultancy, advisory, and creative businesses, and the default route for most solo founders and freelancers.
- ➤ Management and business consultancy
- ➤ IT, software, and technology services
- ➤ Marketing, media, and creative agencies
- ➤ Freelance and independent practice
Industrial and Specialised Licence
For manufacturing, processing, and regulated specialist activities, issued in coordination with the relevant sector authority.
- ➤ Light manufacturing and assembly
- ➤ Packaging and processing
- ➤ Financial services, in zones such as DIFC and ADGM
- ➤ Healthcare and life sciences
Documents Required for Free Zone Company Setup
The standard document set is broadly consistent across free zones. Corporate shareholders and regulated activities require a few additional documents on top of the individual shareholder list below.
For Individual Shareholders
- ➤ Copies of the passports for all shareholders and directors, with a minimum validity of six months
- ➤ UAE residence visa copy, if already a resident
- ➤ Emirates ID, if already a UAE resident
- ➤ A passport-size photo for every shareholder
- ➤ Three proposed trade names for reservation
For Corporate Shareholders
- ➤ Trade licence or Certificate of Incorporation of the parent company
- ➤ Memorandum and Articles of Association
- ➤ Board resolution confirming approval for UAE company registration
- ➤ Certificate of Incumbency
- ➤ A completed Ultimate Beneficial Owner (UBO) declaration form
Our team confirms the exact document list for your chosen zone, activity, and shareholder structure at the start of the engagement.
Corporate Tax and VAT for UAE Free Zone Companies
Free zone companies are taxable persons under UAE federal tax law, with access to a preferential regime that mainland companies do not have.
Corporate Tax
Free zone companies can elect Qualifying Free Zone Person status, which applies a 0% rate to qualifying income under a defined activity list, while non-qualifying income is taxed at the standard 9% above AED 375,000. Qualifying for the 0% rate is not automatic, it requires maintaining real substance in the free zone, keeping income within the qualifying activity list, and preparing audited financial statements. Every free zone company must still register for Corporate Tax with the Federal Tax Authority and file an annual return. We assess your Qualifying Free Zone Person eligibility during the planning stage, before you elect into the regime.
VAT
Free zone companies follow the same VAT rules as the rest of the UAE. Standard VAT is 5%, and registration is mandatory once taxable turnover passes AED 375,000 in a 12 month period, with voluntary registration available from AED 187,500. A small number of free zones carry Designated Zone status, which gives certain goods movements special VAT treatment; this status is zone-specific and should be confirmed for your particular free zone rather than assumed.
Free Zone or Mainland: Which Should You Choose?
Both structures now offer 100% foreign ownership, so the right choice usually comes down to who you sell to. We talk this through against your actual business model before recommending a structure:
- ➤ Choose a free zone if your revenue is mostly international, B2B, online, or sector-specific, and you want the lowest-friction, often lowest-cost setup
- ➤ Choose mainland if you need to trade directly and repeatedly with UAE consumers or businesses, or bid for government contracts
- ➤ A free zone company can still reach the UAE mainland market through an authorised distributor or a registered mainland branch
- ➤ Many groups end up using both: a free zone entity for international and IP-holding activity, and a mainland entity for direct local trade
