Legal Structures for UAE Mainland Companies

A mainland licence can be issued against five main legal forms. The right one depends on how many owners are involved, how much personal liability you're willing to carry, and whether you're setting up a standalone company or extending an existing overseas business into the UAE.

Mainland Licence Categories

Every mainland licence falls under one of three categories issued by the relevant Department of Economic Development. The category determines which activities you can carry out and which additional approvals may apply.

Documents Required for UAE Mainland Company Formation

The exact document set depends on whether the shareholder is an individual or a corporate entity. Foreign company documents generally need notarisation and UAE Embassy attestation in the country of origin before they can be used for registration.

For Individual
Shareholders

  • ➤ Passport copies of all shareholders
    & managers
  • ➤ Existing UAE visa copy, if applicable
  • ➤ Emirates ID, if already a
    UAE resident
  • ➤ Three proposed trade name
    options
  • ➤ Recent utility bill for
    address verification

For Corporate
Shareholders

  • ➤ Certificate of Incorporation or trade licence issued to the parent company
  • ➤ Memorandum and Articles of Association
  • ➤ Board resolution authorising the company's registration in the UAE
  • ➤ Certificate of Incumbency
  • ➤ Passport copy of the appointed manager
  • ➤ Ultimate Beneficial Owner (UBO) declaration form

Our team confirms the exact document list for your specific activity and shareholder structure at the start of the engagement, so nothing holds up licence issuance later.

Corporate Tax and VAT for UAE Mainland Companies

Mainland companies are standard taxable persons under UAE federal tax law, and the same Corporate Tax and VAT rules apply regardless of which emirate you register in.

Corporate Tax

UAE Corporate Tax is charged at 9% on taxable income above AED 375,000. Income up to that threshold is taxed at 0%. Businesses with revenue up to AED 3 million may also qualify for Small Business Relief, which allows them to be treated as having no taxable income for the relevant financial year. Every mainland company must register for Corporate Tax with the Federal Tax Authority and file an annual return, even if no tax is ultimately due.

VAT

Standard UAE VAT is 5% on most goods and services. Registration is mandatory once taxable supplies pass AED 375,000 a year, with voluntary registration available from AED 187,500. Certain exports, and specific sectors such as healthcare and education, may qualify for zero-rating or exemption. VAT-registered mainland companies file returns on the schedule assigned by the Federal Tax Authority, usually quarterly. We handle both Corporate Tax and VAT registration as part of your setup, so your company is compliant from the day the licence is issued.

Why Choose Mainland Over a Free Zone

Both routes offer 100% foreign ownership today, so the decision usually comes down to where and how you want to do business. We walk you through this trade-off against your actual plans before you commit to either route:

  • ➤ Trade directly with customers anywhere in the UAE, with no distributor or service-agent needed
  • ➤ Bid for government and semi-government contracts, which are typically closed to free zone entities
  • ➤ Open physical shops, showrooms, or offices in any emirate
  • ➤ Hire staff without the visa caps tied to a free zone package
  • ➤ Build a banking relationship with the widest acceptance across UAE banks

100% Foreign Ownership: What It Actually Covers

Since the 2021 reform to the UAE Commercial Companies Law, most commercial and professional activities can be 100% foreign-owned on the mainland, with no local Emirati partner required. A short list of strategic-impact activities, including some in defence, oil and gas extraction, and select financial services, still requires Emirati participation. We check which rule applies to your specific activity before you commit to a structure, so there are no surprises during licensing.
